Requirements

Responsibilities
• Manage corporate governance processes for U.S. and international entities • Coordinate and prepare board and committee meeting materials, resolutions, minutes, and consent • Maintain corporate records, minute books, and entity management systems • Serve as primary administrator for all equity compensation programs (e.g., stock options, RSUs) • Manage cap table integrity and oversee equity platform administration • Coordinate option grants, exercises, vesting events, and terminations • Own and manage the legal eBilling system and matter management platform • Leverage technology, including AI, to develop and implement Legal team processes and policies to improve team efficiency • Review, audit, and approve outside counsel invoices in accordance with billing guidelines • Coordinate the annual budgeting process for the Legal Department • Develop and maintain departmental forecasts and monthly variance analyses • Coordinate workstreams between responsible attorneys and internal clients • Act as primary point of contact for internal clients • Manage law firm/vendor relationships
