iCapital - EMEA Legal Counsel - Assistant Vice President

• Draft and negotiate various agreements with counterparties including many of the world’s largest and most sophisticated fund managers and leading distribution agents • Draft and review private fund offering materials, partnership agreements and related private fund legal documentation • Coordinate with outside legal counsel with respect to a variety of issues including regulatory, corporate and fund investment work • Engage in, solution and execute on new initiatives, structures and business lines as the company grows and evolves • Drive legal projects with on-time and on-budget results • Candidate Profile • Candidate Profile • Desire to work at a high-growth company in a fast-paced environment, reshaping the alternative investment ecosystem • 2-3 years of fund formation experience within the Investment Management space (Private Equity and Hedge Fund) • Qualified in Luxembourg, U.K., a member in good standing of the New York bar, or qualified in another jurisdiction • Strong knowledge of Luxembourg corporate structures and regulatory matters • Knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940 and the Securities Act of 1933 is a plus • Knowledge of fund and cross-border regulations is a plus • Excellent interpersonal and communication skills • Willingness to learn new topics and work in an evolving business environment • High level of integrity • A proactive attitude and ability to work cross-functionally an ability to think through complex concepts and tackle them in an organized and efficient manner • We believe the best ideas and innovation happen when we are together.
